Board of Trustees Meeting of May 10, 2004

A regular meeting of the Board of Trustees was held in the Clubhouse on May 10, 2004. All Board Members and Flag Officers were present with the exception of Captain Farber who was excused.

CALL TO ORDER: A quorum being present, Chairman Packard called the meeting to order at 1845 hours.

MINUTES OF THE PREVIOUS MEETING: Secretary Stone read the minutes, which were approved as read.

MEMBERSHIP REPORT: Captain Bressler presented applications for Club membership from Larry Betts, Terry Heuer, Steve Hansen and Larry Shutes, which were approved. He reported that 5 applications would be presented at the next general meeting and anticipates 4 more applications as a result of Opening Day activities.

Due to a conflict in meeting schedules it was decided to move the initiation night to the June 23, 2004 general meeting.

A discussion about the membership contest was held. It was decided that all applications approved on or before October 11, 2004 would be included in the drawing which is scheduled for the October 27, 2004 general meeting.

The Board approved a second prize of $500 in the event that all roster spots are filled by October 11, 2004. The calculation will be based on the current calendar year.

TREASUER’S REPORT: Chairman Packard reported on behalf of Captain Farber that:

25 Captains were delinquent on their moorage payment.

The Treasure’s duties have become much more complicated due to the billing activities. He recommended identifying and training a back up individual.

Chairman Packard observed that the office staff is experiencing frequent interruptions by well meaning members. Dutch doors are planned to help with the problem.

A discussion about the duties and responsibilities of our office employee ensued. Several suggestions were presented and will be given consideration.

Captain Stone reported that the Washington Department of Natural Resources rent for the outstation for the next 4 years starting June 10, 2004 will be $37,607.51 per year. This represents a decrease of $4,230.17 per year. According to DNR the decrease was due to the value of the upland parcel being reduced. DNA has requested financial security be posted in the amount of $66,000. The Club’s current security bond is in the amount of $2,000. The premium for this bond is $400. The premium for a $66,000 bond is estimated at $1,500 per year. Captain Stone will contact DNR and request a reduction in the security requirement to the level of our current bond.

BOARD CHAIRMAN’S REPORT: Chairman Packard presented a Ship’s Stores banking resolution, which was approved. (See Attachment #1)

COMMODORE’S REPORT: Commodore Anhalt reported: Opening Day was a success. He estimated the revenue of $9,000 for meals and $3,600 from the Bar.

He thanked Eric and Barbara Woods for the use of their boat in the parade.

The Ship’s Store cabinets have been installed.

VICE COMMODORE’S REPORT: V/C McCroskey reported: The parking lot project is complete with the exception of a drainage problem in front of Dock #1 and some cracks which are scheduled for repair.

A Milfoil control permit from the State of Washington Department of Ecology is expected shortly. An application contractor has been hired at an estimated cost of $9,000.

The Junior Officer Ball is scheduled for May 22, 2004.

Draft amendments to the moorage rules were presented for discussion. The moorage by-laws committee will seek membership input at the next general meeting. The proposed changes will also be posted on the QCYC website. The Board will be asked to make a decision at the June Board meeting. (See Attachment #2)

Captain Woods presented a report on the Bainbridge Island Fire/Rescue Boat request for contribution. It was decided to make a $2,500 contribution in the form of a certificate from a local electronics supplier of our choice. Captain Zuvich has volunteered to head the selection process.

REAR COMMODORE’S REPORT – SCOTT GRIMM: SR 520 update. The Department of Transportation has decided on the 6-lane option for the bridge. This will have the same impact on Dock #3 as the 8-Lane option.

The survey firm of Bush, Roed & Hitching has been selected based on a recommendation of Captain Bill McGillin.

The completed survey can cost up to $17,000 not counting sales tax. The Board approved a motion to increase the authorization for the survey to $20,000. The Board will request that the Planning and Finance Committee authorize these funds from the Contingency Fund.

R/C Grimm will consult with our attorney Elaine Spenser regarding her recommendations on the scope of the survey.

It was reported that expenses associated with land condemnation are recoverable from the State including interest at 1% per month.

A new lawn service has been hired.

The Bridge Officers handled an Opening Day incident.

OLD BUSINESS: Captain Kuhn reported on the Junior Boating Program.

  • The Program has raised $12,000.
  • Classes are scheduled to start on June 28, 2004.
  • There will be 10 one-week classes of up to 6 students from the age of 9 to 18.
  • The cost per student is $250 per week.
  • Captain Richdale will review the Junior Boating Program documents.
  • The Board approved the Junior Boating Program.
  • Commodore Anhalt appointed Captains’ Buller and DeLauay as co-chairman of the Junior Boating Program Special Committee.

NEW BUSINESS: Captain Mauldin reported that the black berry vines on the property must be removed to allow surveyor access. R/C Grimm will make the arrangements.

MEMBER COMMENTS: 1. Captain Bailey commended the Junior Boating Program Committee for their good work.

Board of Trustees Resolution Banking Resolution #02: F/Y 2003/2004

At its May 10, 2004 regular Board of Trustees meeting, The Queen City Yacht Club Board of Trustees herby designates Washington Mutual Savings Bank as the depository for Club funds in a checking account titled Queen City Yacht Club, Ship’s Stores.

The Queen City Yacht Club Board of Trustees further resolves that the following six persons are authorized to sign financial instruments and that two signatures are required to negotiate all financial documents with at least one of the two signors holding the office of Commodore, Vice Commodore, Rear Commodore or Treasurer.

Attachment #1: Draft Moorage Changes as of 5/10/2004

3. Permanent Moorage.

3.01. Definitions. Permanent moorage means the privilege extended to Active Members of the Club for exclusive use of a slip or dock space for moorage of a boat in accordance with these Moorage Rules. A Mooring Member shall mean a Club member to whom the privilege of permanent moorage has been assigned. A Non-mooring Member means a Club member who has not been assigned the privilege of permanent moorage.

3.02. Qualification for Permanent Moorage. Only boats which are owned by Active Members of the Club, have a current state registration, are 65 feet or less in length and have permanently installed cooking facilities, bunks or berths and a head qualify for permanent moorage. Ownership of a boat means that title to the boat is in the name of an Active Member or jointly in the name of one or more Active Members as shown by the Washington State certificate of ownership or the Coast Guard documentation for the boat. A person has no permanent moorage privilege simply because the person is a spouse or relative of a Club member who has permanent moorage privileges. No member may be assigned permanent moorage for more than one boat.

3.03.a. Slip Categories and Lengths. Boat slips shall be divided into categories by length. Boats shall be categorized by the Moorage Committee and assigned based on the definition of boat length. A boat may only be placed in a slip that qualifies based on its length. All covered slip lengths shall be measured to the drip line of the cover. Moorage in a slip shall be assigned only to a boat, which is qualified for permanent moorage and the length of which is not less than the minimum, if any, nor more than the maximum for the slip.

For covered moorage, the maximum length allowed in a slip shall be the drip line plus two (2) feet. For all covered moorage except 39’ slips, the minimum length shall be the length of the pier.

For open moorage, the maximum length allowed shall be the pier length plus three (3) feet. The minimum length allowed shall be the pier length.

Slip lengths shall be identified as follows:

  • 39’
  • 40’
  • 46’
  • 48’
  • 54’

3.03.b. Boat Length. Boat length shall be measured from the tip of the bow or the manufacturer’s pulpit, anchor, or bow roller to the furthest aft edge of the swim step. Dinghies, dinghy davits, or other attachments to the hull shall not be included in determining the boat length. No boat moored at any of the covered floating docks shall extend beyond the drip line of the roof of the dock.

3.04. Priority List. For each category of boat slip, the Committee shall maintain a priority list of no more than 25 eligible members who own a boat qualifying for permanent moorage and who have requested permanent moorage for the category of slip. Highest priority on the list shall be assigned to the member with the lowest membership number, except that, until June 30, 2002, a member who has purchased a Series Six bond shall have priority over a member who has not purchased a Series Six bond. At least once each 60-day period, an updated copy of each priority list shall be posted on a bulletin board at the clubhouse. The posted copy shall indicate the date to which it is current. A posted copy need not be updated or kept current until the next updated copy is to be posted. The Committee shall maintain in its possession the only updated and current priority lists.

3.05. Application for Priority Listing. An Active Member who desires to be included on a priority list for permanent moorage of a boat shall submit a written application to the Committee requesting that the member be listed and provide (a) the member’s membership number, (b) the length and beam of the member’s qualifying boat, (c) proof of current state registration, (d) proof of ownership of the qualifying boat and (e) any other information the Committee considers to be needed to establish the member’s qualification and priority. Properly qualified members who make application shall be added to the priority list for the category of slip desired. Each member desiring permanent moorage is responsible for making a proper application and confirming that the member is placed on the priority list for the category of slip for which the member is eligible. Requests for corrections to any priority list shall not be considered unless made in writing to the Committee.

3.06. Assignment of Slips. Assignments of permanent moorage in each slip category shall be made only to a member who is on the priority list used for the slip category. If a member is not on the priority list at the time that a slip becomes available, the member will not be entitled to assignment of permanent moorage at that slip. The Committee shall have no obligation to give any notice to any member concerning availability of slips for assignment, except that when a slip in a category becomes available, the Committee shall contact the member on the priority list used for that category with the highest priority to ascertain whether the member desires to accept the assignment. If a member accepts the slip, permanent moorage at the slip shall be assigned to the member. If the member declines an offer of a slip assignment of the size and type requested, then such member’s name shall be removed from the priority wait list. The member may reapply for moorage when the member is ready to take a slip. The slip will be offered to the member with the next priority on the priority list used for that slip. If the Committee is unable to contact a member conveniently, it may give the member notice of the availability by mail to the member’s current address in the Club’s records, or by email. If a member who is so notified fails to accept the assignment by written acceptance received by the Committee within 7 days after notice is mailed or e mailed, the member shall be deemed to have declined the assignment. Assignments made for permanent moorage during each past two-month period shall be posted at the clubhouse by the Committee. Priority for permanent moorage is not affected by sub-assignments of permanent moorage.

3.07. Loss of Permanent Moorage. On termination of the privilege of permanent moorage, a boat shall be immediately removed from the slip. A Mooring Member’s privilege of permanent moorage may be terminated by the Committee in the event of any of the following:

3.07.01. No Boat. The Mooring Member’s qualifying boat is not moored in the slip assigned to the Mooring Member within 30 days after assignment of the slip is made.

3.07.02. No Occupation. The Mooring Member’s qualifying boat does not occupy the slip for at least six months of each calendar year. On application by the Mooring Member prior to the expiration of the six months, the Board of Trustees may extend that six month period on showing of special circumstances justifying the extension in the discretion of the Board of Trustees.

3.07.03. Change of Owner. Six months after transfer of ownership of Mooring Member’s boat, during which time, the slip shall be made available for sub assignment.

3.07.04. Death. Six months after the death of the Mooring Member.

3.07.05. Inactive Boat. The Committee determines that, historically and presently, the Mooring Member’s boat has not been, and is not being, used by its member owner for cruising or Club functions away from moorage facility, that there is no reasonable expectation that the boat will be so used, or that the boat is not maintained as a seaworthy yacht.

3.07.06. No Registration. The boat has no current Washington state registration.

3.07.07. Suspension. Membership has been suspended.

3.08. Joint Ownership. If the boat for which permanent moorage has been assigned is jointly owned by more than one Active Member, the joint member with the highest membership number shall be used to determine priority and qualification for permanent moorage of the boat. Joint owners shall promptly notify the Committee of any joint ownership or change in joint ownership of a boat.

3.09. Sub assignments. No Mooring Member may make a sub-assignment of the member’s permanent mooring privilege. If a Mooring Member informs the Committee in writing of the period when the Mooring Member’s assigned slip will be empty and requests sub-assignment, the Committee may sub assign the privilege of exclusive moorage at that slip temporarily to another member for a period of not more than six months. A member who desires to obtain a sub assignment of a slip shall make a request in writing to the Committee setting forth the member’s membership number, the name of the qualifying boat, its overall length, beam and height above the waterline and category of slip desired. Sub assignments shall be made to members who have requested sub assignments and who have the lowest membership number, except that members who have been assigned off-season moorage at the Eagle Harbor Outstation within the past twelve months shall have priority over those members who have not been assigned such moorage. When the Committee makes a sub assignment, it shall notify each of the members involved by mail. During the period of sub assignment, the member who receives the sub assignment shall be responsible for the payment of no more than the moorage and utility charges for permanent moorage at the slip incurred during the sub-assignment period.

  • 1.10. Changes of Slip Assignment. No change of a slip assigned for permanent moorage shall be made by Mooring Members. A Mooring Member desiring to move to a different slip shall give the Committee written request.
